Includes an aggregate 23,324 shares held by the following Grantor Retained Annuity Trusts that each holds the number of shares set forth behind its name: The Elias 2017 Grantor Retained Annuity Trust dated May 1, 2017 (6,834 shares), The Elias 2018 Grantor Retained Annuity Trust dated September 6, 2018 (9,993 shares), and The Elias 2020 Grantor Retained Annuity Trust dated January 28, 2020 (6,497 shares). Mr. Elias is trustee and beneficiary of these Grantor Retained Annuity Trusts.
