Explanation of Responses:

1. Represents shares of common stock granted to the Reporting Person by the Issuer's Board of Directors on February 21, 2023 upon recommendation of the Human Capital Committee. This number of shares equals the number of shares the Reporting Person would have received, but for his retirement, during the first quarter of 2023, upon the vesting of one-third of each of the time-based restricted share unit grants made in 2020, 2021 and 2022 (which grants were reported in previous Form 4 filings and are not again included in Column 5).

2. Reflects the forfeiture of an aggregate of 15,204 time-based restricted share units issued to the Reporting Person as compensation during 2021 and 2022 (and reflected in previous Form 4 filings) that were forfeited by the Reporting Person upon his retirement from the Issuer.

3. These shares are held by the Reporting Person's spouse and are being reported as beneficially owned by him.
