Item 5.03 Amendment of Bylaws

On March 17, 2005, the Board of Directors of Dime Community Bancshares, Inc. amended Article IV, Section 3 of its Bylaws to extend for an additional year the mandatory retirement age of the class of directors whose term expires in 2006.
