Item 8.01 Other Events.
On July 17, 2009, UGI Corporation, the parent of UGI Utilities, Inc. ("Utilities"), announced that David W. Trego resigned as Director, President and Chief Executive Officer of Utilities for personal reasons.
Utilities' Board of Directors appointed John L. Walsh to serve as President and Chief Executive Officer, effective July 16, 2009. Mr. Walsh also serves as President and Chief Operating Officer of UGI Corporation and will continue to serve as Utilities' Vice Chairman.
