Item 5.02 Departure of Directors or Principal Officers
(b) Robert M. Pons resigned as an officer and director of the Company
effective April 20, 2007. Paul Melchiore resigned as a director of the Company
effective April 20, 2007.
(c) David Marks has been appointed as a director of the Company, effective
April 20, 2007, to fill a vacancy on the Board of Directors. The information
required to be furnished by Mr. Marks will be filed by amendment.

The Company has no principal executive offices and its telephone service has
been discontinued.
