Riley FBR, Inc., a Delaware corporation ("BRFBR" and, with BRF, the "Filing Persons"). Each of the Filing Persons disclaims beneficial ownership of the ordinary shares, no par value per share ("Ordinary Shares"), of magicJack VocalTec Ltd. reported herein except to the extent of its pecuniary interest therein.

2. Represents 1,249,000 Ordinary Shares owned directly by BRFBR and 5,942,715 Ordinary Shares owned by B. Riley Principal Investments, LLC, a Delaware limited liability company and wholly-owned subsidiary of BRF.
