1. On July 24, 2019, 2,077 of the 15,000 performance share units granted to the Reporting Person on July 28, 2018 were released upon the achievement of performance criteria.

2. Represents shares that have been withheld by the Issuer to satisfy income tax withholding and remittance obligations in connection with the net settlement of performance share units and does not represent a sale by the Reporting Person.
