Item 4.01. Changes in Registrant’s Certifying Accountant
On October 2, 2008, the Board of Directors of CE Casecnan Water and Energy Company, Inc. (the “Company”) approved the appointment of Manabat Delgado Amper & Co. (a Deloitte Touche Tohmatsu member firm) as its new independent registered public accounting firm for the year ended December 31, 2008. During the fiscal years ended December 31, 2007 and 2006 and through October 2, 2008, the Company has not consulted with Manabat Delgado Amper & Co. regarding any of the matters described in Item 304(a)(2)(i) or Item 304(a)(2)(ii) of Regulation S-K.
