Dear Shareholder:

It has come to our attention that a typographical error occurred on page B-2 of Appendix B (Articles of Incorporation) to our definitive proxy statement filed with the Securities and Exchange Commission on May 17, 2011.  In Article Sixth(a) of the Articles of Incorporation, the authorized number of shares of common stock is erroneously listed as 20,000,000 shares.  The correct number is 30,000,000 shares, which is the current number of authorized shares of common stock of First Federal Bancshares of Arkansas, Inc. (the “Company”).  As indicated throughout the proxy statement, the capital structure of the Company will not change following the reincorporation of the Company from Texas to Arkansas.
