Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis.

2. Includes 505 shares received by the reporting person from a pro-rata distribution by Bear State Financial Holdings, LLC to its members of shares of the Issuer's common stock on February 10, 2015.

3. On June 4, 2013, the reporting person was granted 3,333 restricted stock units (as adjusted to account for the 11% stock dividend declared by the Issuer on November 12, 2014), cliff vesting and converting into common stock on the third anniversary of the grant date.
