Explanation of Responses:

1. Represents a grant of restricted stock units from the issuer for services as an executive vice president of the issuer. Each restricted stock unit represents a right to receive one share of the issuer's common stock. The restricted stock units vest over a three-year period, with 25% vesting on November 23, 2018, 25% vesting on October 24, 2019 and 50% vesting on October 24, 2020.

2. The option vests in three equal annual installments beginning on October 24, 2018.
