Item 4.01. Changes in Registrant’s Certifying Accountant.
As announced in the Company’s press release, a copy of which is filed as Exhibit 99.1 to this Form 8−K and is incorporated herein by reference, on June 27, 2006, the Audit Committee of the Board of Directors of PRG-Schultz International, Inc. (the “Company”) selected BDO Seidman, LLP as the Company's independent registered public accountants for fiscal 2006. During the years ended December 31, 2005 and 2004 and the subsequent interim period through June 27, 2006, the Company did not consult with BDO Seidman regarding either (1) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's consolidated financial statements or (2) the subject matter of a disagreement or reportable event as those terms are defined in Item 304(a)(1)(iv) and (v), respectively, of Regulation S-K.
