Explanation of Responses:

1. Sale by administrator of ESOP/401k Plan.

Remarks:

This amendment is being filed to correct the shareholdings and omitted transactions for the two forms of indirect holdings listed above. Reporting Owner recently became aware that the Required Minimum Distribution in December 2014 from the ESOP and 401K accounts were funded by these reported sales. This was not consistent with prior practice. Except as reported in this amendment, the information on the previous Form 4/A remains as previously reported. Note the total shareholdings for these two indirect holdings may not match previous totals as the result of rounding.
