Explanation of Responses:

1. This option vests over a three year period, with 1/3 of the total shares vesting on May 15, 2020, and the 1/3 of the remaining shares on each yearly anniversary thereafter until such time as the option is 100% vested, subject to the continuing service of the Reporting Person on each vesting date.

2. The shares of Convertible Preferred Stock are convertible into the Issuer's Common Stock on a 1:1 basis and have no expiration date. Immediately upon the close of the Issuer's initial public offering all shares of convertible preferred stock will be automatically converted into shares of Common Stock.
