2. Each performance unit represents a contingent right to receive one share of the Issuer's common stock, upon satisfaction of vesting conditions based on the closing price of the Issuer's common stock as described in the applicable award agreement, filed with the Securities and Exchange Commission as Exhibit 10.2 to Form S-8 on March 12, 2020.
