1. Automatic grant issued on the date of the Company's Annual Meeting of Shareholders pursuant to the Company's previously disclosed Director Compensation Plan. Such grant consists of Common Stock issued pursuant to the Company's 2022 Share Incentive Plan and will vest at each quarter (September 30, 2024, December 31, 2024, March 31, 2025 and June 30, 2025) provided that the recipient is still serving as a Director on the respective vesting dates.
