On March 18, 2008, Berkshire Hathaway Inc. (“Berkshire”) and Marmon Holdings, Inc. (“Marmon”), the owner of all of the outstanding stock of Union Tank Car Company, jointly issued a press release announcing that Berkshire had completed its purchase of 60% of Marmon for $4.5 billion in cash from Berkshire’s available cash. As previously reported, the remaining 40% of Marmon will be acquired by Berkshire through staged acquisitions over a five to six year period for consideration based on future earnings of Marmon. Further information on the purchase is contained in the press release which is attached as Exhibit 99.1 hereto and incorporated herein by reference.
