On January 4, 2010, Brocade Communications Systems, Inc. (the “Company”) announced its preliminary plans to offer, subject to market and other conditions, up to approximately $600 million in aggregate principal amount of senior secured notes in a private placement. The offering is expected to be made to “qualified institutional buyers” as defined in Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and in offshore transactions pursuant to Regulation S under the Securities Act. The Company would use $150 million of the net proceeds of the offering, together with cash on hand, to retire when due in February 2010 approximately $173 million in outstanding 2.25% subordinated convertible notes originally issued by McDATA Corporation, a wholly owned subsidiary of the Company, and the balance of the proceeds of the offering would principally be used to pay down a portion of the outstanding term loan under the Company’s senior secured credit facility.
