The following information is being furnished pursuant to Item 7.01 — Regulation FD Disclosure of Form 8-K. This information is not deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 and is not incorporated by reference into any Securities Act of 1933 registration statements.
On April 27, 2017, during the first quarter 2017 earnings conference call with the investment community, CARBO Ceramics Inc. (the “Company”) announced that it is exploring options to monetize some of the Company’s international assets.
The Company has engaged an advisory firm to assist in this process and has received indications of interest in the market for its Russia manufacturing operations. The Company intends to continue its internal review process to determine the best manner in which to maximize shareholder value. At this time, it is not certain that any transaction will be consummated.
