     Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

     By action of its Board of Directors, effective September 16, 2005, the Company amended its bylaws to decrease the size of the Board of Directors from eight to seven. The amended bylaws will be filed with the Company’s Form 10-Q for the fiscal quarter ended September 30, 2005. A copy of the text of the amendment is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
