Attached hereto is a Notice issued by us to our shareholders of record as of June 29, 2010 pursuant to an order of the United States District Court for the Southern District of New York (the "Court") and Federal Rule of Civil Procedure 23.1, informing such shareholders that a proposed settlement has been reached, subject to Court approval, between the parties in the consolidated shareholder’s derivative action captioned IN RE JAKKS PACIFIC, INC. DERIVATIVE ACTION.
