ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective November 16^th, the corporation has accepted the resignation of Eric Fletcher who has served as a director and corporate secretary of the company since April 2003 and as its CFO for North American operations.  There are no disagreements or other items to report with respect to this resignation.  Mr. Fletcher continues to provide services to the company under the terms of a management services agreement with a third party.
