Management Bonus Plan
On May 2, 2007, the Compensation Committee of the Board of Directors of Polycom, Inc. (the “Company”) approved the amendment and restatement of the Company’s Management Bonus Plan (the “Management Plan”). The Management Plan is an incentive bonus program for management employees who are not participants in the Company’s Performance Bonus Plan. The Management Plan is designed to provide incentives to, and reward the efforts of, management employees in maximizing the short- and long-term financial performance of the Company’s business. The Compensation Committee has discretion to increase or decrease bonuses under the Management Plan based on factors determined by the Compensation Committee.
Philip B. Keenan, one of the Company’s named executive officers, is a participant in the Management Plan for fiscal 2007.
A copy of the Management Plan is filed as Exhibit 10.1 to this Form 8-K and is incorporated herein by reference.
