Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On November 30, 2007, the Board of Directors of 99¢ Only Stores (the “Company”) approved an amendment to the Company’s Bylaws. The Bylaw amendment amends and restates Article VI, Section 10 of the Bylaws to authorize the Company to issue shares of stock without certificates. The amendment took effect upon adoption by the Board of Directors of the Company.
The revisions were made to comply with the New York Stock Exchange requirement regarding direct registration eligibility. The text of the amended and restated Section 10 is attached to this Report as Exhibit 3.1 and is incorporated herein by reference.
