1. Reflects shares issued upon settlement of vested KELTIP Units in connection with the retirement of the reporting person.

2. The closing price of the issuer's common stock on the NYSE American on 03/31/2022, the date the shares of common stock were acquired and disposed of.

3. Shares surrendered to the Issuer for tax withholding to pay tax liability incurred by the receipt of securities issued in accordance with Rule 16b-3.

4. The Form 4 filed on 04/04/2022 erroneously reported a price of $0.52 in column 4. The purpose of this amendment is to correct the price in column 4.

Remarks:

Mr. Vogels is retiring from Golden Minerals Co. effective Mar. 31, 2022. He will no longer be subject to Form 4 filings for Golden Minerals Co.
