Explanation of Responses:

1. Represents the grant of restricted stock units that vest 1/3 on each of 12/4/16, 12/4/17 and 12/4/18.

2. The shares subject to the option shall become vested according to the following schedule: 25% of the shares subject to the option (rounded down to the next whole number of shares) shall vest after one year, and 1/48th of the shares subject to the option (rounded down to the next whole number of shares) shall vest on the first day of each calendar month thereafter over the remaining three years.
