(d) On September 29, 2005, the Board of Directors of Post Properties, Inc. (the “Company”) appointed Stella Ferguson Thayer to the Board of Directors. There are no arrangements or undertakings between Ms. Thayer and any other person pursuant to which Ms. Thayer was selected as director. We expect that Ms. Thayer will serve on the Company’s Audit Committee and Executive Compensation and Management Development Committee. A copy of the press release announcing the appointment of Ms. Thayer to the Board of Directors is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
Ms. Thayer, age 64, is an attorney and shareholder of the law firm of Macfarlane Ferguson & McMullen, as well as the President and director of Tampa Bay Downs, Inc. In addition, Ms. Thayer is a member of the Florida Council of 100, the Board of Trustees of Tampa General Hospital Foundation, the Board of Trustees of the University of South Florida Foundation, and the Board of Advisors of Columbia Law School.
Since the beginning of the Company’s last fiscal year, there have been no relationships or transactions between the Company and Ms. Thayer that are required to be disclosed under Item 404(a) of Regulation S-K.
