Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective December 19, 2007, the Board of Directors of Post Properties, Inc. (the “Company”) unanimously approved an amendment to Article V of the Company’s Amended and Restated Bylaws, as amended (“Bylaws”). The amendment clarifies that the Company may issue its shares in uncertificated form, provides for the transfer of uncertificated shares and makes other conforming changes. The above summary is qualified in its entirety by reference to the full text of (1) the Company’s Bylaws as filed with the Securities and Exchange Commission (the “SEC”) as an exhibit to the Company’s Quarterly Report on Form 10-Q for the quarter ended September 30, 2003, (2) Amendment No. 1 to the Company’s Bylaws, as filed with the SEC as Appendix A to the Company’s 2004 proxy statement, (3) Amendment No. 2 to the Company’s Bylaws, as filed with the SEC as an exhibit to the Company’s Current Report on Form 8-K filed on February 20, 2007 and (4) Amendment No. 3 to the Company’s Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1.
