Section 1 - Registrant’s Business and Operations
Item 1.02. Termination of a Material Definitive Agreement.
Effective December 23, 2004, United Industrial Corporation (the “Co mpany”) and AAI Corporation, Detroit Stoker Company, AAI Services Corporation and AAI/ACL Technologies, Inc. (the “Subsidiaries”, and with the Company, the “Borrowers”) terminated the Loan and Security Agreement dated as of June 28, 2001, as amended, with Fleet Capital Corporation. The Company is currently negotiating a larger and more flexible credit facility.
In September 2004, the Company raised $120 million from the issuance of its 3.75% convertible senior notes due 2024.
