Item 8.01. Other Events.
On July 1, 2020, Norwood Financial Corp (“Norwood”) issued a press release to announce that the closing of the previously announced proposed acquisition of UpState New York Bancorp, Inc. (“UpState”) and its wholly owned subsidiary, USNY Bank, will be delayed, and is now anticipated to occur on or about July 7, 2020, subject to the satisfaction of customary closing conditions. A copy of the press release is filed herewith as Exhibit 99.1, and is incorporated in its entirety by reference herein.
