Explanation of Responses:

1. These shares of restricted stock, granted under the C&J Energy Services 2015 Long-Term Incentive Plan, are fully vested as of the date of grant. However, they are subject to certain restrictions on transfer that will lapse in accordance with the following schedule: 1/3 of the restricted shares shall become unrestricted on each of the first, second, and third anniversaries of the date of grant, subject to the full lifting of all restrictions upon certain events, including resignation or non-reelection of directors.
