Dr. Janine A. Davidson is a newly elected member of the Board of Directors of UMB Financial Corporation (the “Company”). Dr. Davidson will serve on the Corporate Governance & Nominating Committee and the Compensation Committee.

The annual meeting of shareholders of the Company was held on April 28, 2020. As of the record date, there were a total of 48,927,927 shares outstanding and entitled to vote at the annual meeting. At the annual meeting, 43,108,183 shares were represented in person or by proxy, therefore, a quorum was present. The following proposals were submitted by the Board of Directors to a vote of the shareholders:
