1. Represents an award of restricted stock which will vest in three equal annual installments beginning April 27, 2022. The Reporting Person is deemed to hold the award for the benefit of certain funds (the "In-Cap Funds") managed by Inclusive Capital Partners, L.P. and indirectly for Inclusive Capital Partners, L.P., and may transfer the award directly to the In-Cap Funds.
