1. Joseph DePerio ("Mr. DePerio") is an employee of Clinton Group, Inc., the investment manager to certain investment funds and managed accounts that hold securities of the Issuer. Mr. George E. Hall has direct and indirect control over Clinton Group, Inc., the funds and managed accounts, and another entity that holds securities of the Issuer. Mr. DePerio expressly disclaims beneficial ownership of such securities.
