Item 1.01 Entry into a Material Definitive Agreement
On November 11, 2004, the Board of Directors, in recognition of the responsibility and time necessary to serve as the Lead Director of the Board of Directors approved a Lead Director cash fee of $15,000 per year, effective December 1, 2004, payable at the time of payment of the Annual Retainer. Payment for the current Lead Director will be prorated and paid in the first quarter of 2005.
