Item 12. Results of Operations and Financial Condition.

      On March 4, 2004, MIM Corporation (the "Company") issued a press release announcing that a pre-tax charge of approximately $950,000 will be included in the Company's 2003 full year results based on accounting rules governing its tentative settlement of a litigation subsequent to its 2003 fiscal year end and 2003 fourth quarter. A copy of this press release is furnished as Exhibit 99.1 hereto.
