On January 31, 2025, the Board of Directors (the “Board”) of AMMO, Inc. (the “Company”) established July 29, 2025 as the date of the Company’s 2025 annual meeting of stockholders (the “2025 Annual Meeting”) and established June 6, 2025 as the record date for determining stockholders who are eligible to receive notice of and vote at the 2025 Annual Meeting. The date of the 2025 Annual Meeting represents a change of more than 30 calendar days from the anniversary of the date of the preceding year’s annual meeting. The Company will publish additional details regarding the exact time, location and matters to be voted on at the 2025 Annual Meeting in the Company’s proxy statement for the 2025 Annual Meeting.
Stockholders of the Company who wish to (i) have a proposal considered for inclusion in the Company’s proxy materials for the 2025 Annual Meeting pursuant to Rule 14a-8 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) or (ii) submit a stockholder proposal outside of the Rule 14a-8 process for consideration at the 2025 Annual Meeting, must provide written notice to the Company at its principal executive offices not later than the close of business on May 15, 2025, which the Company has determined to be a reasonable time before it expects to begin to print and distribute its proxy materials for the 2025 Annual Meeting. Any such proposal must also meet the requirements set forth in all applicable rules and regulations of the Securities and Exchange Commission. The May 15, 2025 deadline will also apply in determining whether notice of a matter is timely for purposes of exercising discretionary voting authority with respect to proxies under Rule 14a-4(c) of the Exchange Act. In addition, to comply with the universal proxy rules, stockholders who intend to solicit proxies in support of director nominees other than the Company’s nominees must provide notice that sets forth the information required by Rule 14a-19 under the Exchange Act by May 30, 2025, which is 60 days prior to the annual meeting date.
