Item 5. Other Events.
On Friday, June 15, 2001, Fleet Capital Corporation ("Fleet"), acting as Agent under the Loan and Security Agreement dated October 15, 1998, did not consent to the payment of interest to the holders of the Company's 101/2% Senior Subordinated Notes Due 2007 (the "Notes") that was due to be made on June 15, 2001. The Company is currently negotiating with Fleet to reach an agreement which would allow it to make the interest payment within the 30 day grace period provided in the Indenture governing the Notes, however, there can be no assurance that such an agreement will be reached.
