ITEM 8.01.Other Events.
On October 6, 2009, River Valley Bancorp (the “Registrant”) filed a Form D with the Securities and Exchange Commission to report that the Registrant is engaged in a private placement of up to $8,000,000 of Fixed Rate Cumulative Perpetual Preferred Stock, Series A, without par value, liquidation preference $1,000 per share (the “Series A Preferred Stock”). The Series A Preferred Stock is being offered and sold to accredited investors with whom or which the Registrant has an existing relationship.
The Series A Preferred Stock will qualify as Tier 1 capital and will pay cumulative dividends at a rate of 7.25% per annum for the first five years and 9% per annum thereafter, payable quarterly. The Series A Preferred Stock will be non-voting except with respect to certain matters affecting the rights of the holders thereof, and may be redeemed by the Registrant after five years for 100% of the liquidation preference plus any declared but unpaid dividends. The Series A Preferred Stock will have a liquidation preference of $1,000 per share.
The minimum amount that must be raised in the offering is $5,000,000. The Corporation expects to continue to accept subscriptions until December 31, 2009, and to close the transaction on or before that date. Fifty percent of the net proceeds of the offering will be contributed to the Corporation’s bank subsidiary, River Valley Financial Bank.
The Series A Preferred Stock has not been and will not be registered under the Securities Act. This Form 8-K does not constitute an offer to sell, or a solicitation of an offer to buy, any security.
