Item 8.01 Other Events

E*TRADE Financial Corporation (the “Company”) today announced that E*TRADE Bank has received regulatory approval from the Office of the Comptroller of the Currency and the Federal Reserve Bank of Richmond to dividend $100 million of capital up to the Company.    Following receipt of such regulatory approvals, the E*TRADE Bank board approved the $100 million dividend.
