Item 1.01. Entry into a Material Definitive Agreement.
Purchase and Sale Agreement
On December 12, 2024, U.S. Energy Corp. (the “Company”, “we” and “us”), and our wholly-owned subsidiary, New Horizon Resources LLC (“New Horizon”), entered into a Purchase and Sale Agreement (the “Sale Agreement”), with 84 Resources Holdings, LLC (“84 Resources”). Pursuant to the Sale Agreement, we agreed to sell 84 Resources primarily operated oil and gas producing properties, including all oil and gas leases, wells (122), surface rights, rights of ways, personal property, permits, contracts, records and facilities, associated therewith located primarily in Liberty and Henderson Counties, Texas (the “Property”), in consideration for $6.825 million, subject to customary adjustments (the “Purchase Price”).
The effective date of the sale will be November 1, 2024 and the closing of the sale is expected to occur on or before December 31, 2024, subject to customary closing conditions, including satisfactory due diligence of 84 Resources (including where applicable, potential adjustments to the Purchase Price in connection therewith, pursuant to the terms of the Sale Agreement, subject to a cap of $350,000),
The Company agreed to operate the Property in the ordinary course prior to the earlier of termination of the Sale Agreement and the closing.
The Sale Agreement includes customary representations and warranties, disclaimers and indemnification obligations, consistent with a transaction of the size and type of the sale, provides the parties thereto with specified rights and obligations and allocates risk among them in a customary manner.
The Sale Agreement contains representations, warranties and other provisions that were made only for purposes of the Sale Agreement and as of specific dates and were solely for the benefit of the parties thereto. The Sale Agreement is a contractual document that establishes and governs the legal relations among the parties thereto and is not intended to be a source of factual, business or operational information about the Company or 84 Resources or the assets to be acquired from the Company. The representations and warranties made by the Company and 84 Resources in the Sale Agreement may be (i) qualified by disclosure schedules containing information that modifies, qualifies or creates exceptions to such representations and warranties and (ii) subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Accordingly, investors and security holders should not rely on such representations and warranties as characterizations of the actual state of facts or circumstances.
