Explanation of Responses:

1. Represents partial vesting of a restricted stock unit award on June 1, 2020 and delivery of shares to the reporting person pursuant to the terms of a restricted stock unit award agreement dated May 12, 2020. The remainder of the shares vest in two equal installments on the last day of each of the Issuer's third and fourth quarters of fiscal 2020 provided the recipient continues to serve as a director of the Issuer.
