1. The Exercise Price of the Stock Option will be the closing prices of the Issuer's Common Stock on the fifth trading day after the filing of the Issuer's Quarterly Report on Form 10-Q for the period ended September 30, 2022, with the Securities and Exchange Commission.

2. The option vests and becomes exercisable in three equal annual installments with the first installment vesting on November 9, 2023.
