Attached hereto and incorporated by reference herein is information regarding the financial results of Mega Retail Ltd., a subsidiary of the Registrant, for the third quarter and the first nine months of 2015. This information is being provided pursuant to an agreement with the Israel Securities Authority in connection with Mega Retail's arrangement with creditors and the proposed grant of options to large suppliers and service providers of Mega Retail to convert a portion of the debt owed to them by Mega Retail into ordinary shares of the Registrant.
