Item 1.01 Entry into a Material Definitive Agreement.
On July 21, 2021, the Company entered into an amendment (the “Credit Facility Amendment”) to the Loan and Security Agreement, dated as of March 13, 2020, with Siena Lending Group LLC (the “Siena Credit Facility”). The Credit Facility Amendment changed the financial covenant under the Siena Credit Facility from a minimum EBITDA covenant to an excess availability covenant requiring that the Company maintain excess availability of at least $750,000 under the Siena Credit Facility, tested as of the end of each calendar month begining with the calendar month ending July 31, 2021.
