Explanation of Responses:

1. Annual equity award to Directors under the 2012 Non-Employee Director Equity Plan (NEDEP). Under the NEDEP, Directors can choose form(s) of equity. Reporting Person chose annual equity award in the form of restricted stock units.

2. The Board of Directors of the Issuer adopted an annual grant for 2020 of 7,000 restricted stock units to each independent Director whose election was in the form of restricted stock units. Reporting Person's award was pro-rated for time served on the Board for the fiscal year ended February 1, 2020.

3. The Reporting Person has elected a vesting date of January 15, 2022. There is no expiration date.
