Item 1.01. Entry into a Material Definitive Agreement.
On May 12, 2022, Seelos Therapeutics, Inc. (the “Company”) entered into an Open Market Sale AgreementSM (the “Sale Agreement”) with Jefferies LLC, as sales agent (the “Agent”), pursuant to which the Company may offer and sell shares of its common stock, par value $0.001 per share (the “Shares”), from time to time, through the Agent (the “Offering”). The Company has also filed a prospectus supplement, dated May 12, 2022, with the Securities and Exchange Commission (the “SEC”) in connection with the Offering (the “Prospectus Supplement”) under the Company’s existing shelf Registration Statement on Form S-3, as amended (File No. 333-251356), which became effective on December 23, 2020 (the “Registration Statement”). Pursuant to the Prospectus Supplement, the Company may offer and sell Shares having an aggregate offering price of up to $50.0 million.
Subject to the terms and conditions of the Sale Agreement, the Agent will use its commercially reasonable efforts to sell the Shares from time to time, based upon the Company’s instructions. Under the Sale Agreement, the Agent may sell the Shares by any method permitted by law deemed to be an “at the market offering” as defined in Rule 415(a)(4) promulgated under the Securities Act of 1933, as amended (the “Securities Act”), including sales made directly on the Nasdaq Capital Market or on any other existing trading market for the Shares. Subject to the Company's prior written consent, the Agent may also sell Shares by any other method permitted by law, including but not limited to in negotiated transactions.
The Company has no obligation to sell any of the Shares, and may at any time suspend offers under the Sale Agreement. The Offering will terminate upon the earlier of (i) the sale of all of the Shares subject to the Sale Agreement, or (ii) the termination of the Sale Agreement according to its terms by either the Company or the Agent.
Under the terms of the Sale Agreement, the Agent will be entitled to a commission at a fixed rate of 3.0% of the gross proceeds from each sale of Shares under the Sale Agreement. The Company will also reimburse the Agent for certain expenses incurred in connection with the Sale Agreement, and agreed to provide indemnification and contribution to the Agent with respect to certain liabilities, including liabilities under the Securities Act and the Securities Exchange Act of 1934, as amended.
The Company currently intends to use any net proceeds from the Offering for general corporate purposes and to advance the development of its product candidates.
The foregoing description of the Sale Agreement is not complete and is qualified in its entirety by reference to the full text of the form of the Sale Agreement filed as Exhibit 1.1 hereto, which is incorporated herein by reference.
Brownstein Hyatt Farber Schreck, LLP, Nevada local counsel to the Company, has issued a legal opinion regarding the authorization and issuance of the Shares. A copy of such legal opinion, including the consent included therein, is attached as Exhibit 5.1 hereto.
