Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective as of June 14, 2013, Randy J. Berholtz resigned as the Executive Vice President, General Counsel and Secretary of Apricus Biosciences, Inc. (the “Company”). Mr. Berholtz resigned to pursue other opportunities. The Company agreed that in consideration for Mr. Berholtz’s agreement to provide certain transition services following his resignation, Mr. Berholtz will be entitled to receive certain severance benefits, as set forth in Section 4(a) of that certain Amended and Restated Employment Agreement, dated March 18, 2013, by and between the Company and Mr. Berholtz.
