This Current Report on Form 8-K/A (Amendment No 1) supplements Item 5.02 of the Current Report on Form 8-K previously filed with the Commission on March 2, 2010, relating to, among other items, the appointment of Mark A. Kelly as interim President of First Acceptance Corporation.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 30, 2011, the Compensation Committee of the Board of Directors of First Acceptance Corporation (the “Company”) recommended and approved that Mark A. Kelly, the Company’s interim President, be paid an annual base salary of $400,000 commencing on March 1, 2011. Any bonus or other compensation for Mr. Kelly will be determined by the Committee at a later date.
