Registrant is unable to file, without unreasonable effort or expense, its Quarterly Report on Form 10-Q for the period ended June 30, 2016 (the “Form 10-Q”). Additional time is needed for the Company to compile and analyze supporting documentation in order to complete the Form 10-Q and in order to permit the Company’s independent registered public accounting firm to complete its review of the unaudited consolidated financial statements included in the Form 10-Q. The registrant undertakes the responsibility to file such quarterly report no later than fifth calendar day after its prescribed due date.

The Company experienced unfavorable development related to prior periods of $25.8 million for the three months ended June 30, 2016. This unfavorable development for the three months ended June 30, 2016 was the result of increased losses primarily from the 2015 accident year across all major coverages. The most significant causes of the development were a greater than usual emergence of reported claims and higher bodily injury severity.
